The General Authority for Competition has set up guidelines to interpret the conditions under which the transactions are to be notifiable in Saudi Arabia. What types of transactions are or reviewable, and what is the test for control?

Notification is required in mergers in case the global of parties to economic concentration transactions is more than 100 Million Saudi riyals. The law does not state a minimum turnover threshold. In addition, notification of fully functional joint ventures, whether newly formed or existing entity acquires ownership of a new entity, is required by law. However, the law does not define what constitutes a fully functional joint venture.

Additionally, GAC and the Competition Law do not define what entails control, and no guidelines are issued in this regard.
