The notification is mandatory and must occur within 90 days before the completion of a potential transaction.

However, the business enterprises that are owned and controlled solely by the Saudi Arabian government and public establishments are prohibited from notification. In addition to this, the Competition Law can be exempted in some cases that result in economic concentration. The exemption has to lead to improved market performance, provide benefits that outweigh the effects of the exemption, and do not force or affect competitors out of the market. To issue the exemption, GAC will form a technical committee to study the recommendation.
